1. Acceptance of Terms
Welcome to ScriptBlend. These Terms of Service ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("you," "your," or "User") and ScriptBlend, Inc. ("ScriptBlend," "we," "us," or "our") governing your access to and use of the ScriptBlend website located at scriptblend.com (the "Site"), our mobile applications (the "Apps"), and all related services, features, content, and functionality offered by ScriptBlend (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES.
If you are accessing or using the Services on behalf of a business entity, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" shall refer to both you individually and the entity you represent.
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting of the revised Terms on the Site, with an updated "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically for any updates or changes.
2. Eligibility and Account Registration
2.1 General Eligibility
To use our Services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract. By using the Services, you represent and warrant that you meet these eligibility requirements.
2.2 Healthcare Provider Eligibility
If you are registering as a healthcare provider ("Provider"), you represent and warrant that:
- You are a duly licensed healthcare professional in good standing with all applicable licensing authorities in the jurisdiction(s) where you practice.
- You hold a valid and unrestricted license to prescribe medications, including controlled substances where applicable, in the state(s) where your patients are located.
- You possess a valid National Provider Identifier (NPI) number issued by the Centers for Medicare & Medicaid Services (CMS).
- You possess a valid Drug Enforcement Administration (DEA) registration, if required for the medications you intend to prescribe.
- You are not currently excluded, debarred, suspended, or otherwise ineligible to participate in federal healthcare programs.
- You will use the Services only to prescribe medications for patients with whom you have established a valid patient-provider relationship in accordance with applicable laws and professional standards.
- All information you provide during registration and thereafter is accurate, current, and complete.
2.3 Patient Eligibility
If you are registering as a patient ("Patient"), you represent and warrant that:
- You are at least eighteen (18) years of age, or you are the parent or legal guardian of a minor patient for whom you are registering.
- You have been referred to the Services by a licensed healthcare provider.
- All information you provide, including health information, is accurate, current, and complete to the best of your knowledge.
- You will use the Services solely for your own healthcare needs or those of a minor for whom you are the legal guardian.
2.4 Account Registration and Security
To access certain features of the Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information as prompted by the registration process.
- Maintain and promptly update your account information to keep it accurate, current, and complete.
- Maintain the security and confidentiality of your account credentials, including your password.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account or any other breach of security.
- Not share your account credentials with any third party or allow any third party to access your account.
We reserve the right to suspend or terminate your account, refuse service, or cancel orders at our sole discretion if we suspect that any information you provide is inaccurate, incomplete, or fraudulent, or if you violate any provision of these Terms.
3. Description of Services
3.1 Platform Overview
ScriptBlend provides a healthcare technology platform that connects licensed healthcare providers with FDA-registered 503B outsourcing facilities and compounding pharmacies ("Pharmacy Partners") to facilitate the prescribing, compounding, and fulfillment of compounded medications. Our Services include:
- An AI-powered prescribing interface that assists Providers in identifying and prescribing appropriate compounded medications.
- Electronic prescription transmission to our Pharmacy Partners.
- Patient portal for account management, order tracking, and communication with Providers.
- Payment processing for medication orders.
- Shipping and delivery coordination for compounded medications.
3.2 Not a Healthcare Provider
SCRIPTBLEND IS A TECHNOLOGY PLATFORM AND IS NOT A HEALTHCARE PROVIDER, PHARMACY, OR MEDICAL PRACTICE. WE DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSES, OR TREATMENT RECOMMENDATIONS. THE SERVICES ARE INTENDED TO FACILITATE COMMUNICATION BETWEEN PROVIDERS AND PHARMACY PARTNERS AND TO STREAMLINE THE PRESCRIBING PROCESS.
All clinical decisions, including the decision to prescribe a particular medication, dosage, and treatment plan, are made solely by the prescribing Provider. ScriptBlend's AI-powered features provide suggestions and information to assist Providers but do not replace professional medical judgment. Providers are solely responsible for ensuring that all prescriptions are appropriate for their patients and comply with applicable laws and standards of care.
3.3 Pharmacy Services
All compounding and dispensing of medications is performed by our independent Pharmacy Partners, which are licensed pharmacies or FDA-registered 503B outsourcing facilities. ScriptBlend does not compound, manufacture, dispense, or sell medications directly. Our Pharmacy Partners are solely responsible for:
- Compounding medications in accordance with applicable laws, regulations, and quality standards.
- Verifying prescriptions and ensuring they are complete and appropriate.
- Dispensing medications to patients.
- Providing patient counseling and medication information as required by law.
- Complying with all applicable federal and state pharmacy laws and regulations.
3.4 Service Availability
We strive to maintain the availability and reliability of our Services, but we do not guarantee uninterrupted access. The Services may be subject to scheduled maintenance, upgrades, or unplanned outages. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice or liability.
4. Provider Responsibilities and Obligations
4.1 Professional Responsibilities
As a Provider using our Services, you acknowledge and agree that:
- You are solely responsible for all clinical decisions made in connection with prescriptions submitted through the Services.
- You will establish and maintain a valid patient-provider relationship with each patient for whom you prescribe medications through the Services, in accordance with applicable laws and professional standards.
- You will conduct appropriate patient evaluations, obtain relevant medical histories, and make informed prescribing decisions based on your professional judgment.
- You will prescribe medications only for legitimate medical purposes and in the usual course of your professional practice.
- You will comply with all applicable federal, state, and local laws, regulations, and professional standards governing the practice of medicine and the prescribing of medications.
- You will maintain appropriate professional liability insurance coverage for your prescribing activities.
- You will promptly notify ScriptBlend of any changes to your licensure, DEA registration, or professional standing that may affect your eligibility to use the Services.
4.2 Prescription Responsibilities
When submitting prescriptions through the Services, you agree to:
- Provide complete, accurate, and legible prescription information, including patient information, medication details, dosing instructions, quantity, and refill information.
- Ensure that all prescriptions comply with applicable laws and regulations, including but not limited to the Controlled Substances Act (where applicable), state pharmacy laws, and DEA regulations.
- Review and verify all prescription information before submission, including any AI-generated suggestions.
- Not prescribe medications for yourself, family members, or others with whom you have a personal relationship that could compromise your professional judgment, except as permitted by applicable law.
- Not prescribe controlled substances through the Services unless you have a valid DEA registration and the prescription complies with all applicable laws.
- Respond promptly to any requests from Pharmacy Partners for clarification or additional information regarding prescriptions.
4.3 Credential Verification
You authorize ScriptBlend and its agents to verify your professional credentials, including but not limited to your medical license, NPI, DEA registration (if applicable), and any other credentials required for your use of the Services. You agree to cooperate with any verification requests and to provide documentation as reasonably requested. You acknowledge that your use of the Services is contingent upon successful verification of your credentials and that we may suspend or terminate your account if verification cannot be completed or if any credentials are found to be invalid, expired, or restricted.
5. Patient Responsibilities and Obligations
5.1 Accurate Information
As a Patient using our Services, you agree to:
- Provide accurate, complete, and current information about yourself, including your medical history, current medications, allergies, and other health information relevant to your care.
- Promptly update your information if there are any changes that may affect your treatment or the safety of medications prescribed to you.
- Inform your prescribing Provider of all medications you are currently taking, including prescription medications, over-the-counter drugs, supplements, and herbal products.
- Disclose any known allergies, adverse reactions, or sensitivities to medications or their ingredients.
5.2 Medication Use
You acknowledge and agree that:
- Compounded medications are prepared specifically for you based on a prescription from your healthcare provider and are not FDA-approved products.
- You will use medications only as directed by your prescribing Provider and in accordance with any accompanying instructions or patient information.
- You will not share, sell, or transfer medications to any other person.
- You will store medications properly and dispose of unused medications in accordance with applicable guidelines.
- You will promptly report any adverse reactions, side effects, or concerns about your medications to your prescribing Provider.
- You are responsible for ensuring that someone is available to receive medication shipments and that medications are stored appropriately upon receipt.
5.3 Healthcare Relationship
You understand and acknowledge that:
- ScriptBlend is not your healthcare provider and does not provide medical advice or treatment.
- Your relationship with your prescribing Provider is separate from your relationship with ScriptBlend.
- You should direct all questions about your medical condition, treatment, or medications to your prescribing Provider.
- In case of a medical emergency, you should call 911 or go to the nearest emergency room.
6. Payment Terms
6.1 Pricing
Prices for medications and services are displayed on the Site and App at the time of order. All prices are in U.S. dollars unless otherwise indicated. Prices are subject to change without notice, but changes will not affect orders that have already been placed and confirmed. Prices do not include shipping, handling, or applicable taxes, which will be calculated and displayed at checkout.
6.2 Payment Methods
We accept various payment methods as indicated on the Site, including major credit cards, debit cards, and other payment methods as may be made available from time to time. By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize us to charge the payment method for all orders and fees incurred through your account.
6.3 Payment Processing
Payment processing is handled by third-party payment processors. Your use of payment services is subject to the terms and conditions of the applicable payment processor. We are not responsible for errors or issues caused by payment processors. You agree to pay all charges incurred through your account at the prices in effect when the charges are incurred.
6.4 Insurance and Reimbursement
Compounded medications are generally not covered by insurance. Patients are responsible for the full cost of medications at the time of purchase. ScriptBlend does not bill insurance companies or participate in insurance networks. If you believe you may be eligible for reimbursement from your insurance company, you may request a receipt or invoice to submit to your insurer, but reimbursement is not guaranteed and is solely between you and your insurer.
6.5 Refunds and Cancellations
Due to the customized nature of compounded medications, all sales are generally final once an order has been submitted to a Pharmacy Partner for compounding. Refunds or cancellations may be available in limited circumstances, such as:
- Orders cancelled before the Pharmacy Partner has begun compounding.
- Medications that are damaged during shipping.
- Medications that do not match the prescription specifications.
- Other circumstances as determined by ScriptBlend in its sole discretion.
To request a refund or cancellation, please contact our customer support team. Refund requests are subject to review and approval. Approved refunds will be processed to the original payment method within a reasonable timeframe.
6.6 Provider Fees
Use of the ScriptBlend platform is currently free for Providers. We reserve the right to introduce fees for Provider services in the future, with advance notice to affected users. Any such fees will be clearly communicated before they take effect, and your continued use of the Services after notice constitutes acceptance of the fees.
7. Shipping and Delivery
7.1 Shipping Methods
Medications are shipped via carriers selected by our Pharmacy Partners based on the nature of the medication and delivery requirements. Certain medications may require expedited shipping, cold chain shipping, or special handling, which may affect shipping costs and options.
7.2 Delivery Address
You are responsible for providing an accurate and complete delivery address. Medications will be shipped to the address provided at the time of order. We are not responsible for delays or non-delivery resulting from incorrect or incomplete address information. For certain medications, delivery may require signature confirmation or may not be available to P.O. boxes.
7.3 Delivery Times
Estimated delivery times are provided for informational purposes only and are not guaranteed. Delivery times may vary based on factors including the Pharmacy Partner's processing time, shipping carrier performance, weather conditions, and other factors beyond our control. We are not liable for any delays in delivery.
7.4 Risk of Loss
Risk of loss and title for medications pass to you upon delivery to the carrier. If a shipment is lost, damaged, or stolen after delivery to the carrier, we will work with you and the carrier to resolve the issue, but we cannot guarantee replacement or refund in all circumstances.
7.5 Geographic Limitations
Our Services are currently available only within the United States and its territories. We do not ship medications internationally. Certain states may have restrictions on the shipment of specific medications, and some medications may not be available in all states due to regulatory requirements.
8. Intellectual Property Rights
8.1 Ownership
The Services and all content, features, and functionality thereof, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by ScriptBlend, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8.2 Limited License
Subject to your compliance with these Terms, ScriptBlend grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content, information, software, products, or services obtained from or through the Services.
- Use the Services for any commercial purpose not expressly permitted by these Terms.
- Access or use the Services to build a competitive product or service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in the Services.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Services.
8.3 Trademarks
"ScriptBlend," the ScriptBlend logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ScriptBlend or its affiliates or licensors. You may not use such marks without the prior written permission of ScriptBlend. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
8.4 Feedback
If you provide us with any feedback, suggestions, ideas, or other information or materials regarding the Services ("Feedback"), you hereby assign to ScriptBlend all rights in such Feedback and agree that ScriptBlend shall have the right to use and fully exploit such Feedback in any manner it deems appropriate, without any obligation to you.
9. Prohibited Conduct
You agree not to engage in any of the following prohibited activities in connection with your use of the Services:
- Violating any applicable federal, state, local, or international law or regulation.
- Providing false, inaccurate, or misleading information, including but not limited to false credentials, patient information, or prescription information.
- Engaging in any fraudulent, deceptive, or illegal activity, including but not limited to prescription fraud, identity theft, or healthcare fraud.
- Prescribing medications without establishing a valid patient-provider relationship or for non-legitimate medical purposes.
- Attempting to circumvent any security measures or access controls implemented by ScriptBlend or its Pharmacy Partners.
- Using the Services to transmit any viruses, malware, or other harmful code.
- Interfering with or disrupting the Services or the servers or networks connected to the Services.
- Using any automated means, including robots, spiders, or scrapers, to access the Services or collect information from the Services.
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
- Collecting or storing personal information about other users without their consent.
- Using the Services for any purpose that is competitive with ScriptBlend or to develop a competing product or service.
- Harassing, threatening, or intimidating any other user or ScriptBlend personnel.
- Posting or transmitting any content that is defamatory, obscene, pornographic, abusive, or otherwise objectionable.
- Attempting to access any portion of the Services that you are not authorized to access.
- Selling, reselling, or commercially exploiting the Services or any content obtained through the Services without our express written consent.
10. Third-Party Services and Links
10.1 Third-Party Services
The Services may integrate with or provide access to third-party services, applications, websites, or resources ("Third-Party Services"). Your use of any Third-Party Services is subject to the terms and conditions and privacy policies of those third parties. ScriptBlend does not endorse and is not responsible or liable for the availability, accuracy, content, products, or services of any Third-Party Services.
10.2 Third-Party Links
The Services may contain links to third-party websites or resources. These links are provided for your convenience only and do not imply any endorsement by ScriptBlend. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
10.3 Pharmacy Partners
Our Pharmacy Partners are independent third parties and are not employees, agents, or representatives of ScriptBlend. ScriptBlend is not responsible for the acts or omissions of any Pharmacy Partner, including but not limited to the quality of compounded medications, compounding errors, dispensing errors, or any harm resulting from medications dispensed by Pharmacy Partners.
11. Disclaimers
11.1 No Medical Advice
THE SERVICES DO NOT PROVIDE MEDICAL ADVICE. THE CONTENT AND INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING BUT NOT LIMITED TO AI-GENERATED SUGGESTIONS AND DRUG INFORMATION, ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND ARE NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTHCARE PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION OR TREATMENT.
11.2 "As Is" and "As Available"
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SCRIPTBLEND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11.3 AI and Automated Features
THE SERVICES INCLUDE AI-POWERED AND AUTOMATED FEATURES THAT PROVIDE SUGGESTIONS AND ASSISTANCE TO PROVIDERS. THESE FEATURES ARE TOOLS TO AID PROFESSIONAL JUDGMENT AND ARE NOT INTENDED TO REPLACE IT. SCRIPTBLEND DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY AI-GENERATED SUGGESTIONS OR INFORMATION. PROVIDERS ARE SOLELY RESPONSIBLE FOR VERIFYING ALL INFORMATION AND MAKING INDEPENDENT CLINICAL DECISIONS.
11.4 Compounded Medications
COMPOUNDED MEDICATIONS ARE NOT FDA-APPROVED PRODUCTS. COMPOUNDED MEDICATIONS ARE PREPARED BY PHARMACY PARTNERS BASED ON PRESCRIPTIONS FROM LICENSED PROVIDERS. THE SAFETY, EFFICACY, AND QUALITY OF COMPOUNDED MEDICATIONS HAVE NOT BEEN EVALUATED OR APPROVED BY THE FDA. SCRIPTBLEND MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SAFETY, EFFICACY, OR QUALITY OF ANY COMPOUNDED MEDICATIONS DISPENSED THROUGH OUR PHARMACY PARTNERS.
11.5 No Guarantee of Results
SCRIPTBLEND DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE SERVICES OR ANY MEDICATIONS OBTAINED THROUGH THE SERVICES. INDIVIDUAL RESULTS MAY VARY.
12. Limitation of Liability
12.1 Exclusion of Certain Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCRIPTBLEND, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Services.
- Any conduct or content of any third party on or related to the Services.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any medications prescribed, compounded, or dispensed in connection with the Services.
- Any medical decisions or outcomes resulting from use of the Services.
12.2 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF SCRIPTBLEND AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO SCRIPTBLEND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12.3 Basis of the Bargain
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SCRIPTBLEND AND YOU. THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.
12.4 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, SCRIPTBLEND'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Indemnification
You agree to defend, indemnify, and hold harmless ScriptBlend, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from or related to:
- Your use of and access to the Services.
- Your violation of any provision of these Terms.
- Your violation of any third-party right, including but not limited to any intellectual property, privacy, or proprietary right.
- Your violation of any applicable law, rule, or regulation.
- Any content or information you submit, post, or transmit through the Services.
- For Providers: Any prescriptions you submit through the Services, any clinical decisions you make, any harm to patients resulting from your prescribing activities, or any violation of applicable healthcare laws or professional standards.
- For Patients: Any misuse of medications obtained through the Services or any false information you provide.
- Any other party's access to and use of the Services with your account credentials.
ScriptBlend reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of ScriptBlend.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@scriptblend.com and attempt to resolve any dispute informally. We will attempt to resolve the dispute by contacting you through email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed to binding arbitration as set forth below.
14.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Services (collectively, "Disputes") shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by this Section 14. The arbitration shall be conducted by a single arbitrator in Delaware, or at another mutually agreed location, unless you and ScriptBlend agree otherwise.
14.3 Class Action Waiver
YOU AND SCRIPTBLEND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and ScriptBlend agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
14.4 Jury Trial Waiver
YOU AND SCRIPTBLEND HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and ScriptBlend are instead electing that all Disputes shall be resolved by arbitration under this Section 14.
14.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
14.6 Opt-Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@scriptblend.com within thirty (30) days of first accepting these Terms. If you opt out, neither you nor ScriptBlend can require the other to participate in an arbitration proceeding, and the dispute resolution provisions set forth in Section 14.7 will apply.
14.7 Governing Law and Venue
These Terms and any dispute arising out of or related to them or your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. If the arbitration agreement is found to be unenforceable or if you validly opt out of arbitration, you agree that any judicial proceeding will be brought in the state or federal courts located in Wilmington, Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
15. Termination
15.1 Termination by You
You may terminate your account at any time by contacting us at support@scriptblend.com or through the account settings in the Services. Upon termination, your right to use the Services will immediately cease. Termination of your account does not relieve you of any obligations to pay any outstanding amounts owed to ScriptBlend.
15.2 Termination by ScriptBlend
We may suspend or terminate your account or access to all or part of the Services at any time, with or without cause, and with or without notice, effective immediately. Reasons for termination may include, but are not limited to:
- Violation of these Terms or any applicable law or regulation.
- Fraudulent, abusive, or illegal activity.
- Failure to pay any amounts owed to ScriptBlend.
- Loss or suspension of required professional licenses or credentials (for Providers).
- Extended periods of inactivity.
- Requests by law enforcement or government agencies.
- Discontinuation of the Services or any part thereof.
- Unexpected technical or security issues.
15.3 Effect of Termination
Upon termination of your account:
- All rights and licenses granted to you under these Terms will immediately terminate.
- You must cease all use of the Services.
- We may delete your account information and any content associated with your account, subject to our data retention policies and applicable law.
- Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and ScriptBlend regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent.
16.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by ScriptBlend to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of ScriptBlend. ScriptBlend may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment or transfer in violation of this Section shall be null and void.
16.5 Notices
All notices to you may be sent to the email address associated with your account or posted on the Services. Notices to ScriptBlend should be sent to legal@scriptblend.com or to ScriptBlend, Inc., Attn: Legal Department, at our principal place of business.
16.6 Force Majeure
ScriptBlend shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any person or entity, except that our Pharmacy Partners and other service providers may enforce the provisions of these Terms that are intended to benefit them.
16.8 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
16.9 Electronic Communications
By using the Services, you consent to receiving electronic communications from us. These communications may include notices about your account, transactional information, and other information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
16.10 Export Control
The Services may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs maintained by the U.S. Treasury Department's Office of Foreign Assets Control.
16.11 Government End Users
If you are a U.S. government end user, the Services are provided as "Commercial Items" as that term is defined at 48 C.F.R. 2.101, and are licensed to you only with those rights as are granted to all other end users pursuant to these Terms.

18. Acknowledgment
BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEIR TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS OF SERVICE, TOGETHER WITH THE PRIVACY POLICY, REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND SCRIPTBLEND AND SUPERSEDE ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND SCRIPTBLEND RELATING TO THE SUBJECT MATTER OF THESE TERMS.
